1. Who we are

Udyog Bazaar is operated by [LEGAL ENTITY NAME], [COMPANY TYPE], registered at [REGISTERED ADDRESS], India (CIN [CIN], GSTIN [GSTIN]). “We”, “us” and “our” refer to that entity. By creating an account or using the site you agree to these terms.

2. What this platform is

We operate an online marketplace that introduces business buyers to suppliers. We are an intermediary within the meaning of the Information Technology Act, 2000 and the rules made under it. We do not manufacture, own, sell, inspect, store, insure or deliver any goods listed here.

Listings, specifications, prices, photographs and business claims are supplied by the seller who publishes them. We do not verify them and we make no representation about their accuracy.

3. Accounts and eligibility

Accounts are for business use by persons competent to contract under the Indian Contract Act, 1872. You must be at least 18. You are responsible for the accuracy of the details you publish and for keeping your credentials secure. One person or entity may not operate multiple seller accounts to evade limits or suspension.

4. Seller obligations

• List only goods you actually hold or can genuinely supply, in the quantities stated.
• Describe dead stock and used equipment truthfully. Condition, year of manufacture, hours run, quantity and expiry are relied on by buyers to make purchasing decisions.
• Hold and maintain any registration, licence or approval your goods require, including a valid GST registration where applicable.
• Do not use buyer contact details obtained here for unsolicited bulk marketing. Doing so also breaches TRAI regulations.
• Respond to inquiries you receive, or close them.

5. Prohibited listings and conduct

You may not list counterfeit, stolen, smuggled, hazardous, restricted or illegal goods; goods you may not lawfully sell; or anything requiring a licence you do not hold. You may not misrepresent your business, impersonate another, scrape the site, interfere with its operation, or publish content that is unlawful, defamatory or infringing.

We may remove any listing and suspend any account for breach of this section, with or without notice.

6. What verification means

A “Verified” badge means we checked that the GST registration number the seller supplied exists and matches the business name they gave us, at the time we checked. That is all it means.

It is not a guarantee of the seller's solvency, honesty, product quality, ability to deliver, or the condition of any individual item. We do not inspect goods or machinery.

7. Transactions between users

Any contract for the sale of goods is between the buyer and the seller alone. We are not a party to it. Price, payment terms, packaging, transport, inspection, warranty, returns and disputes are entirely between those two parties.

We do not hold funds, provide escrow, or guarantee any transaction. Pay only on terms you have agreed in writing, and inspect goods before paying in full — particularly for used machinery.

8. Seller subscriptions and billing

Sellers may subscribe for ₹500 per month (plus GST where applicable) to unlock buyer contact details, unlimited listings, buy-lead responses and verification eligibility. Payments are processed by Razorpay; we never receive or store your card details.

Subscriptions renew automatically each month until cancelled. Cancelling stops future renewals and access continues to the end of the period already paid for. If a renewal payment fails, access continues for a short grace period before the subscription expires.

9. Your content

You keep ownership of the listings, photographs and text you upload. You grant us a non-exclusive, royalty-free licence to host, display, resize and distribute that content for the purpose of operating and promoting the marketplace, including in search results and search engine listings. You confirm you have the right to grant this.

10. Suspension and termination

We may suspend or close an account that breaches these terms, that we reasonably believe is being used fraudulently, or where required by law. Suspension ends all active sessions immediately. You may close your account at any time; closure does not by itself refund fees already paid.

11. Liability

The platform is provided on an “as is” basis. To the fullest extent permitted by law, we are not liable for any loss arising from a transaction between users, from reliance on any listing, from a seller's conduct or goods, or from interruption of the service. Nothing here excludes liability that cannot lawfully be excluded.

12. Grievance Officer

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, complaints about content or use of this platform may be sent to:

We will acknowledge a complaint within 24 hours and aim to resolve it within 15 days, as those rules require.

13. Governing law

These terms are governed by the laws of India. Courts at [CITY], [STATE] have exclusive jurisdiction.

14. Changes

We may update these terms. Material changes will be notified through the site or by email, and the “last updated” date above will change. Continuing to use the platform after that constitutes acceptance.
